Agreement
These Terms of Service govern your access to and use of Nexus Wispr, including the desktop portal, mobile app, authentication, synchronization, transcription, note synthesis, attachments, and related services. By using Nexus Wispr, you agree to these Terms.
Accounts
You are responsible for maintaining the confidentiality of your account, devices, login methods, and credentials. You must provide accurate account information and promptly notify us if you believe your account has been compromised.
Permitted Use
You may use Nexus Wispr only for lawful purposes and only if you have the rights and permissions needed for the content you record, upload, synchronize, process, generate, or share. You may not attempt to disrupt, reverse engineer, abuse, overload, or gain unauthorized access to the service or related systems.
User Content
You retain ownership of the content you submit to Nexus Wispr. You grant us the limited rights needed to host, process, transmit, synchronize, transform, and display that content so we can provide and improve the service.
Professional Review
Nexus Wispr may generate transcripts, summaries, notes, drafts, and other outputs. These outputs may be incomplete, inaccurate, or unsuitable for a particular use. You are responsible for reviewing and verifying all outputs before relying on them, sharing them, storing them in a record, or using them in professional workflows.
No Emergency Use
Nexus Wispr is not designed for emergency communication, urgent clinical decision-making, or any use where a delay, error, or interruption could create a risk of harm. Do not use the service as a substitute for your own professional judgment or required recordkeeping processes.
HIPAA and Regulated Use
The current direct-to-consumer service is not offered under a Business Associate Agreement and is not represented as HIPAA-compliant. You must not use it to create, receive, maintain, or transmit protected health information where HIPAA requires a Business Associate Agreement. Regulated enterprise use requires a separate written agreement and explicit activation by Nexus Wispr.
Credits and Usage
Some features may consume credits or depend on usage limits. Credit balances and usage records may be estimated, synchronized across signed-in devices, and updated as processing completes.
Third-Party Services
Nexus Wispr may rely on third-party services for authentication, hosting, storage, transcription, AI generation, communications, and diagnostics. Your use of those features may also be subject to the terms and policies of the relevant providers.
Availability and Changes
We may update, suspend, or discontinue parts of the service, including features, integrations, limits, and pricing. We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free availability.
Disclaimers
Nexus Wispr is provided on an "as is" and "as available" basis to the extent permitted by applicable law. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Limitation of Liability
To the extent permitted by applicable law, Nexus Wispr and its providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, or substitute services.
Termination
You may stop using Nexus Wispr at any time. We may suspend or terminate access if we believe these Terms have been violated, if required by law, or if continued use creates risk to the service, users, or third parties.
